Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CMT LABS LIMITED S.A., a company incorporated under the laws of the Republic of Panama ("ChartUp," "we," "us," or "our"), governing your access to and use of the ChartUp website, Telegram bot, API, and all related tools, software, and services (collectively, the "Service").

By accessing or using ChartUp—whether via the website or Telegram bot interface—you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue use of all ChartUp services.

1. Definitions

  • "Service" refers to the ChartUp website, Telegram bot, API, and all associated tools, features, and functionalities.

  • "User" refers to any individual or entity accessing or using the Service.

  • "Restricted Person" refers to any individual or entity located in, incorporated in, or affiliated with a Restricted Jurisdiction.

  • "Restricted Jurisdiction" refers to any country or region where use of the Service is prohibited under these Terms or applicable law.

  • "Package" refers to any predefined service offering with specified parameters, pricing, and estimated outcomes.

  • "Holder Order" refers to an order or Package intended to create or maintain holder distribution through the Service.

  • "Allocated SOL" refers to SOL paid or allocated to a Package for its execution, including applicable blockchain, platform, swap, transaction, and service-related costs.

2. Eligibility

Age Requirement You must be at least 18 years of age to use ChartUp. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into binding agreements.

Restricted Jurisdictions The Service is not available to individuals or entities located in, incorporated in, or affiliated with any jurisdiction subject to sanctions or restrictions under applicable law. Restricted Jurisdictions include, but are not limited to:

  • United States of America

  • United Kingdom

  • European Union member states

  • Algeria, Belarus, Bolivia, Crimea, Cuba, Donetsk, Democratic Republic of Congo, Iran, Iraq, Ivory Coast, Liberia, Libya, Luhansk, Mali, Myanmar (Burma), Nepal, North Korea, Somalia, Sudan, Syria, Tunisia, Venezuela, Yemen, Zimbabwe

This list extends to any other jurisdiction where sanctions, embargoes, or cryptocurrency restrictions are in effect.

Prohibited Circumvention The use of Virtual Private Networks (VPNs), proxy servers, or any other method to bypass geographic or legal restrictions is strictly prohibited. By using the Service, you confirm that:

  • You are not a Restricted Person

  • You are not accessing the Service from a Restricted Jurisdiction

  • You are not acting on behalf of any Restricted Person or entity

  • You will not attempt to circumvent these restrictions

If you access the Service from a Restricted Jurisdiction or on behalf of a party located in one, you assume full and sole responsibility for your actions and any resulting consequences.

3. Nature of the Service

Service Description ChartUp is an AI-powered Telegram trading simulation bot designed to simulate market activity within supported blockchain environments. The Service includes:

  • Volume simulation tools

  • Maker activity simulation

  • Holder distribution simulation

  • Related automation features

Not Financial Services The Service is informational and operational in nature. ChartUp:

  • Does not constitute investment advice, financial guidance, or trading recommendations

  • Does not solicit engagement in any trading or investment activity

  • Does not facilitate actual trading or custody of user funds

  • Does not guarantee any results, performance, outcomes, or uptime

  • Cannot be connected to centralized exchanges, custodial platforms, or systems involving public investor funds

Users are solely responsible for how they configure and use the tools provided and for any outcomes resulting from such use.

4. Intended Use and Restrictions

Permitted Use ChartUp is intended solely for testing and development purposes. Permitted uses include:

  • Testing token mechanics in controlled environments

  • Simulating trading patterns for development purposes

  • Validating smart contract behavior before deployment

  • Internal testing within private liquidity pools

Prohibited Use The Service must not be used for:

  • Live or public projects involving real users or financial transactions

  • Mainnet deployments intended for public participation

  • Public token launches or sales

  • Any use case where third parties may be misled about the nature of market activity

  • Any activity that violates applicable laws, regulations, or third-party rights

  • Market manipulation, fraud, or deceptive practices

  • Interference with the proper functioning of the Service

  • Reverse-engineering, copying, or exploiting the Service beyond its intended purpose

  • Harassment, abuse, or harm to other users or third parties

User Responsibility Users are solely responsible for:

  • Clearly informing any audience, collaborators, partners, or third parties about the tool's intended purpose

  • Ensuring deployment does not misrepresent functionality or mislead others

  • Compliance with all applicable local, national, and international laws relating to automated trading, financial activity, and cryptocurrency

  • All legal, financial, and reputational consequences arising from use of the Service

Disclaimer of Liability Any misuse of the Service—whether intentional or unintentional—is entirely the responsibility of the User. ChartUp, CMT LABS LIMITED S.A., its affiliates, creators, operators, distributors, and advertisers expressly disclaim all liability arising from improper, unlawful, unauthorized, or negligent use of the Service.

5. Orders and Payments

Placing Orders Orders may be placed through the Telegram bot or website interface. By placing an order, you agree to pay the listed price and authorize us to process your payment.

Payment Methods We accept Solana (SOL) only. Each order generates a unique one-time payment address. We never request wallet connections, private keys, or seed phrases.

Payment Confirmation Orders begin processing upon confirmed on-chain payment. Blockchain confirmation times vary and are outside our control.

Pricing Prices are subject to change without notice. Completed purchases are not affected by subsequent price changes.

6. Packages and Delivery

Package Estimates Package calculations, durations, transaction counts, holder counts, maker counts, volume figures, and other projected results are estimates only. Calculations may use reference fee assumptions for supported third-party platforms. For example, certain Raydium pools may use a 0.25% reference swap fee, while Pump.fun, PumpSwap, and other platforms may apply different, variable, or tiered fees. Actual fees are determined by the applicable blockchain, pool, protocol, or third-party platform at the time of execution and may change without notice.

Differences in platform fees, network fees, routing, liquidity, market conditions, or execution conditions may affect the amount of activity or estimated results that can be delivered from the same Package or SOL allocation.

Use of Allocated SOL and Package Completion SOL allocated to a Package is committed to the execution and delivery of that Package. Allocated SOL may be used for transaction activity, blockchain and network fees, third-party platform or swap fees, and other execution costs associated with delivering the Package.

Once a Package is marked as completed, all SOL allocated to that Package will have been used in connection with its delivery. A completed Package does not carry an unused or refundable SOL balance, and no SOL is returned solely because the Package has reached completion.

Pausing and Resuming Orders Where supported, Users may pause or resume active orders through the /activetasks function. Pausing an order does not cancel the Package, reverse transactions already executed, or create any right to a refund or return of SOL.

Free Trial Where available, Users are encouraged to evaluate the Service through the /freetrial function before purchasing a paid Package. Availability, scope, and conditions of any free trial may be changed or withdrawn at any time.

Holder Orders Holder Orders are intended to remain active on a permanent basis under normal operating conditions and do not have a predefined expiration date. However, "permanent" does not constitute an unconditional or perpetual guarantee.

In rare circumstances, ChartUp may discontinue, reduce, unwind, or remove holder positions created through the Service where reasonably necessary, including but not limited to circumstances where:

  • The User has violated these Terms or used the Service in a prohibited, abusive, fraudulent, unlawful, or materially misleading manner

  • The relevant project or token has remained inactive for an extended period

  • A material or substantial portion of the token supply has been sold, disposed of, or otherwise changed in a manner that materially alters the conditions under which the Holder Order was created

  • Liquidity has been removed, materially reduced, become unavailable, or is otherwise insufficient to support continued operation

  • The token, liquidity pool, contract, or project has been migrated, disabled, abandoned, restricted, or materially modified

  • A supported blockchain, protocol, exchange, platform, or other third-party service changes its technical requirements, policies, fees, availability, or functionality in a manner that prevents or materially impairs continued maintenance

  • Continued maintenance would create security, technical, legal, regulatory, compliance, or operational risk to ChartUp, the Service, or third parties

  • Other materially similar circumstances make continued maintenance impracticable, unsafe, or inconsistent with these Terms

Removal or discontinuation of holders under this Section does not, by itself, create a right to a refund, replacement, compensation, or return of SOL, except where required by applicable law.

Duration Estimates Service durations are estimates and may vary depending on:

  • Market conditions

  • Network congestion

  • Token volatility

  • Platform performance

  • Third-party fees and liquidity conditions

  • External factors beyond our control

No Guarantee of Outcomes ChartUp provides estimations only. We do not guarantee and accept no responsibility for:

  • Differences between estimated and actual outcomes

  • Specific volume, maker counts, holder numbers, transaction counts, or duration

  • Token performance, price movements, liquidity, or market conditions

  • Trending placement, ranking, visibility, or exposure on any platform

  • Continued availability or unchanged functionality of third-party platforms

  • Any specific results whatsoever

7. Refund Policy

Except where a refund is required by applicable law, all payments and SOL allocations made for access to or use of ChartUp services are final and non-refundable.

By placing an order or purchasing a Package, you acknowledge and agree that:

  • SOL allocated to a Package is committed to the execution and delivery of that Package

  • Once a Package is completed, all SOL allocated to that Package will have been used in connection with its delivery and no SOL balance is due to be returned

  • ChartUp does not provide refunds for partial use, unused time, paused orders, dissatisfaction, or a decision not to continue using the Service

  • Pausing or resuming an order does not create a refund entitlement

  • Misuse, misconfiguration, incorrect token or contract information supplied by the User, or failure to use the Service is not grounds for a refund

  • Market conditions, platform fees, network conditions, liquidity changes, token performance, or actual outcomes differing from estimates are not grounds for a refund

  • Removal or discontinuation of holder positions in accordance with Section 6 is not, by itself, grounds for a refund, replacement, compensation, or return of SOL

  • Users are responsible for evaluating the Service through any available free trial before purchasing a paid Package

In exceptional circumstances, ChartUp may elect to provide a refund, credit, replacement service, or other remedy at its sole discretion, except where a particular remedy is required by applicable law. Any discretionary remedy is case-specific, does not constitute an admission of liability, does not create a precedent, and does not establish an entitlement to the same remedy in any future case.

Nothing in this Section excludes, limits, or waives any right or remedy that cannot lawfully be excluded, limited, or waived under applicable law.

8. Intellectual Property

All content, branding, logos, software, code, algorithms, and materials associated with ChartUp are the exclusive property of CMT LABS LIMITED S.A. or its licensors. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works without express written permission.

You retain ownership of any content you provide (contract addresses, configuration settings) but grant us a limited, non-exclusive license to use such content solely for Service delivery.

9. Limitation of Liability

Disclaimer of Warranties The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Limitation of Damages To the fullest extent permitted by applicable law, ChartUp, CMT LABS LIMITED S.A., its owners, operators, employees, affiliates, creators, distributors, and advertisers shall not be liable for any:

  • Direct, indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, or business opportunities

  • Trading losses or missed opportunities

  • Token performance or market movements

  • Damages arising from unauthorized access to accounts or data

  • Damages arising from third-party platform changes, outages, or policies

  • Any other damages arising from or related to use of the Service

Maximum Liability In no event shall our total aggregate liability exceed the amount you paid for the specific service giving rise to the claim, or $100 USD, whichever is less.

Essential Basis You acknowledge that these limitations are a fundamental element of these Terms and that the Service would not be provided without such limitations.

10. Indemnification

You agree to indemnify, defend, and hold harmless ChartUp, CMT LABS LIMITED S.A., its owners, operators, employees, affiliates, creators, distributors, and advertisers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use or misuse of the Service

  • Your violation of these Terms

  • Your violation of any applicable laws or regulations

  • Your violation of any third-party rights

  • Any third-party claims related to tokens or projects you develop, test, or deploy using the Service

  • Any misrepresentation or misleading conduct in connection with your use of the Service

11. Promotions and Affiliates

ChartUp may include third-party advertisements, affiliate links, or promotional content. Such content does not imply endorsement, warranty, or recommendation by ChartUp or CMT LABS LIMITED S.A.

Affiliates and external partners are solely responsible for their own marketing practices, claims, and communications. ChartUp does not monitor or control affiliate activity and accepts no liability for misleading, inaccurate, or unlawful third-party promotions.

Any transactions, agreements, or disputes between you and affiliates or third parties are strictly your responsibility. ChartUp is not liable for any losses or consequences arising from such interactions.

12. Third-Party Platforms

The Service interacts with third-party platforms including but not limited to Raydium, Pumpfun, PumpSwap, Meteora, Jupiter, and Telegram. ChartUp is not responsible for:

  • Third-party platform availability, policies, fees, or changes

  • Actions taken by third-party platforms against your tokens, wallets, or accounts

  • Disputes between you and third-party platforms

  • Compatibility with future platform updates or policy changes

13. Account Termination

ChartUp reserves the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms

  • Suspected fraudulent, abusive, or illegal activity

  • Access from a Restricted Jurisdiction

  • Requests from law enforcement or regulatory authorities

Upon termination, your right to use the Service ceases immediately. ChartUp may also discontinue active tasks or holder positions associated with the affected use of the Service where reasonably necessary or permitted under these Terms. Suspension or termination does not create a right to a refund or return of SOL except where required by applicable law. Provisions that by their nature should survive termination—including Disclaimers, Limitation of Liability, Indemnification, Refund Policy, and Governing Law—shall continue to apply.

14. Dispute Resolution

Informal Resolution Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation by contacting our support team.

Governing Law These Terms shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to conflict of law principles.

Exclusive Jurisdiction You agree that any legal actions or proceedings shall be brought exclusively in the courts of Panama, and you hereby consent to their personal and exclusive jurisdiction.

Class Action Waiver You agree to waive any right to participate in class actions, class-wide arbitration, or representative proceedings.

15. Force Majeure

ChartUp shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: natural events, government actions, regulatory changes, blockchain network congestion or failures, third-party platform outages, internet service disruptions, or other unforeseen circumstances.

16. Severability

If any provision of these Terms is found to be unenforceable, invalid, or illegal, that provision shall be limited or eliminated to the minimum extent necessary. All remaining provisions shall remain in full force and effect.

17. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of ChartUp.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ChartUp regarding the Service and supersede all prior agreements, understandings, representations, or communications, whether written or oral.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. ChartUp may assign its rights and obligations without restriction.

20. Modifications

ChartUp reserves the right to update, revise, or modify these Terms at any time, with or without prior notice. Changes will be posted with an updated "Last Updated" date.

Continued use of the Service after modifications constitutes acceptance of the revised Terms. You are responsible for reviewing these Terms periodically.
